OFFICIAL RULES

YOU HAVE NOT YET WON. NO PURCHASE, PAYMENT, OR OTHER  CONSIDERATION NECESSARY TO ENTER OR WIN. A PURCHASE, PAYMENT, OR  OTHER CONSIDERATION WILL NOT INCREASE ODDS OF WINNING. ALL  FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY.  VOID WHERE PROHIBITED.

  1. SPONSOR:  Duluth Holdings Inc. d/b/a Duluth Trading Company, 201 East Front  Street, Mount Horeb, Wisconsin 53572, Attn: Free Underwear for Life Sweepstakes.

  2. DATES OF SWEEPSTAKES: The Duluth Trading Company Free Underwear for Life Sweepstakes (the “Sweepstakes”) begins on April 12, 2025, at 10:00 AM local time and  ends on April 13, 2025, at 6:00 PM local time (“Sweepstakes Period”). Sponsor’s computer is the official time-keeping device for the Sweepstakes.

  3. ELIGIBILITY: The Sweepstakes is open to residents of the fifty (50) United  States, who are 21 years of age and older as of April 12, 2025 (the “Entrant”). Employees, officers, directors, equity holders, agents, and representatives (and their immediate family members (i.e., parents, spouses, children, siblings, and grandparents, and household members, whether or not related)) of Sponsor, its advertising or promotional agencies, those involved in the production, development, implementation, or handling of the Sweepstakes; their respective parent companies, subsidiaries, affiliates, licensees, service providers, and prize suppliers; and any other person or entity associated with the Sweepstakes (collectively, “Sweepstakes Persons”), are NOT eligible. Sponsor will disqualify any entry from Entrants who do not meet the eligibility requirements, and may also delete any entry received from persons under the age of thirteen (13)  in compliance with the U.S. Children’s Online Privacy Protection Act and applicable privacy legislation.

  4. HOW TO ENTER: To enter, Entrants must visit a participating Duluth Trading Company retail location (see Attachment A; the Danbury, CT store is excluded from this event) during the Sweepstakes Period and trade in one pair of their old underwear for a free new pair of Duluth Trading Company underwear (this promotion is limited to the first 300 customers at each store per day). These 300 customers will also receive a Peel & Reveal prize card.

    • There is a limit of one (1) entry per Entrant each day of the two-day Sweepstakes Period. Each entry has an equal chance of being selected as a potential winning entry. Entrants are required to provide truthful information and Sponsor will reject and delete any entry that it discovers to be false or fraudulent. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant’s entry and that Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than the Entrant are void.

    • Sponsor is not responsible for any entry that is lost, late, illegible, stolen, mutilated, incomplete, invalid, unintelligible, postage-due, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor or Sweepstakes Entity.

    • If Sponsor determines that any Entrant has attempted to use any means not in keeping with Sponsor’s interpretation of the letter and/or spirit of these Official Rules to enter or otherwise participate in or to disrupt the Sweepstakes, then such Entrant may be disqualified from participating in the Sweepstakes in the sole and absolute discretion of Sponsor.

  5. HOW TO WIN: A total of five (5) winning Peel & Reveal prize cards will be distributed randomly among the sixty (60) participating Duluth Trading Co. stores (stores in Michigan and Virginia are not eligible to participate) by Sponsor. An entrant whose ticket reveals the prize of Free Underwear for Life is a winner (“Winner”). Winner must sign any required Affidavit of Eligibility and Publicity Release within five (5) days of the store event or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of the prize. Winner may choose either 100 pairs of Duluth Trading Co. underwear (to be ordered in-store) or a $500 Duluth Trading Co. gift card. The return of any communication or prize as undeliverable may result in disqualification. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate potential winner by random drawing from among all remaining eligible entries. Major restrictions apply to the use, availability or receipt of any prize. A potential winner may be required to confirm his or her eligibility and release the Sweepstakes Persons from liability to receive any prize.

  6. PRIZES: A total of five (5) prizes will be awarded across all sixty (60) participating Duluth Trading Company retail locations, each consisting of Winner’s choice of either 100 pairs of Duluth Trading Co. underwear or a Duluth Trading Co. gift card in the amount of $500 (each a “Prize”). The total approximate value of all Prizes is $2,500. Each prize consists of only those items specifically listed as part of the prize. Limit one prize per family or household. Winners who choose Free Underwear for Life will place their order for 100 pairs of underwear at their local Duluth Trading store by May 13, 2025, and their order will be delivered to them at the home address they provide. Failure to submit their order by May 13, 2025, may result in forfeiture of prize. No substitution or transfer of prize permitted by winner. No cash in lieu of a prize or prize component will be awarded, except at Sponsor’s sole discretion. Winners who choose Free Underwear may not return the underwear they receive to Duluth Trading Co.; even exchanges only. To the fullest extent permitted by applicable law, Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. Sponsor is not responsible for lost or stolen prize packages.

  7. TAX TREATMENT: All applicable taxes resulting from acceptance of a prize are the sole responsibility of each winner. Each Winner will receive an IRS Form 1099 reflecting  the final value of any prizes awarded to Winner by Sponsor with a total value of $600.00 or more  in a single year. Each Winner is advised to seek advice from its own legal or tax professionals  regarding the tax implications of accepting a prize.

  8. PUBLICITY RELEASE: Acceptance of any prize package shall constitute and  signify each winner’s agreement and consent that Sponsor and its designees may use the Winner’s  name, city, state, likeness, photo, entry, and/or prize information in connection with the Sweepstakes for promotional, advertising, or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission, or other consideration, except where prohibited by law.

  9. GENERAL RULES: By entering this Sweepstakes, Entrant accepts and agrees to  these Official Rules and the interpretations and decisions of the Sponsor, which shall be final,  conclusive, and binding in all matters. If, in the Sponsor’s opinion, there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the Sweepstakes, Sponsor reserves the right to, in its sole discretion, cancel or modify this Sweepstakes in a manner deemed appropriate by the Sponsor.

  10. LIMITATION OF LIABILITY: By entering this Sweepstakes, to the fullest  extent permitted by law, Entrants release and waive all right to, and agree to indemnify and hold the Sweepstakes Persons harmless from, any claim, liability, loss, damage (including direct, indirect, special, exemplary, punitive, incidental, and consequential damages, irrespective of whether the Sweepstakes Persons were advised of the possibility of such damages and whether or not such damages were foreseeable), or expense (including attorneys’ fees), whether arising out of  contract, tort (including negligence), strict liability, or other legal or equitable theory, arising out  of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any  prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF  LIABILITY IN CERTAIN INSTANCES, SO THE ABOVE MAY NOT APPLY TO YOU.  Sponsor will not be responsible for an Entrant’s failure to receive prize notices due to entrant’s  spam, junk e-mail, or other security settings or for Entrants’ provision of incorrect or otherwise  non-functioning contact information; technical, hardware, or software malfunctions, lost or  unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed  electronic communications whether caused by the sender or by any of the equipment or  programming associated with or used in this Sweepstakes; by any human error which may occur  in the processing of the entries in this Sweepstakes; or any typographical, technological, or other  error in the publishing of the offer, administration of the Sweepstakes, or announcement of the  prizes.

  11. CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to the Sweepstakes and these Official Rules are governed by, and construed in  accordance with, the laws of Wisconsin, without giving effect to any of its conflict of laws  provisions. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to the Sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Dane County, Wisconsin.

  12. PRIVACY: Sponsor will be collecting personal data about Entrants online, in  accordance with Sponsor’s Privacy Policy. By participating in the Sweepstakes, Entrants hereby  agree to Sponsor’s collection and usage of their personal information and acknowledge that they  have read and accepted Sponsor’s Privacy Policy.   13. WINNERS LIST: To obtain a copy of the names of all prize winners, available after April 30, 2025, send a self-addressed, stamped #10 envelope to: Duluth Trading Company, 201 East Front Street, Mount Horeb 53572, Attn: Free  Sweepstakes.

  14. MISCELLANEOUS: In the event of any discrepancy or inconsistency between  these Official Rules and disclosures or other statements contained in any Sweepstakes-related  materials, including, but not limited to: websites, point of sale, television, print or online  advertising and/or any instructions or interpretations of these Official Rules given by any  representative of Sponsor; the terms and conditions of these Official Rules shall prevail, govern  and control to the fullest extent permitted by law. The invalidity or unenforceability of any  provision of these Official Rules shall not affect the validity or enforceability of any other  provision. In the event that any provision is determined to be invalid or otherwise unenforceable  or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance  with the terms as if the invalid or illegal provision were not contained herein.
